Chemplex Corporation is fully committed to implementing best global practices approach and the highest standards in relation to its Corporate Governance.
The core of our approach to Corporate Governance is to maintain a robust documentary and procedural framework that ensures ongoing compliance with best governance practices at all times; all of which are aimed at protecting the rights of shareholders and other stakeholders.
Corporate Social Responsibility
Chemplex aim to enhance relationships with stakeholders as a responsible corporate in order to build and keep public trust. It does this through Corporate Social Responsibility (CSR) programmes which are community, local and regional based to cement working relationships in a socially responsible and ethical manner. As subsidiaries, ZimPhos, Dorowa and G and W accommodates more than 300, 270 and 85 employees respectively at their operating sites. These employees are allowed to stay with their families and relatives where necessary. Within these villages, the company has primary schools with intakes from preparatory grades and Grade 1 – 7 catering for more than 760 children
These schools are funded by the company as private schools and about 40% of the children come from the surrounding communities as part of CSR. The organization operates a clinics within these premises. They are well staffed by nursing sisters and visiting Medical Doctors for employees and their families. Social amenities include country clubs, community halls, a beerhalls and sports facilities are in place and open to the surrounding communities.
In Msasa community, the company has adopted the responsibility to help maintain the Epworth Balancing rocks site by cutting grass and grading of roads. The site is tourism attraction and by maintaining this area, the communities, local and regional tourist come and enjoy the pleasant environment which would have been maintained by Chemplex as part of its CSR.  Similar assistance is also often given to Danhiko School along Mutare road and other public institutions. The company has also drilled community borehole in Park Meadowlands, Mathew Rusike children’s home, Theological college, Msasa park and Epworth community to assist locals on water challenges. In case of need for donations to individuals, families, communities, institutions, government programmers or natural disasters, chemplex is a proud responder to those needs as and when they arise. This is done as a way of appreciating the stakeholders and as a responsible organization which gives back to the community.
Chemplex is an active member of the Business Council for Sustainable Development of Zimbabwe (BCSDZ) a voluntary industry led environmental management group. The company is also an active participant of the Msasa Cluster which is a group of corporates seeking to improve the environment and relationships among stakeholders in that area. As such the company has a commitment to voluntarily adhere to responsible environmental management practices and has to be accountable to these respected bodies in addition to compliance with the law. The organization is a proud member and participates fully on  clean- up campaigns which are done every first Friday of the month to reduce litter, promote recycling, and restore natural spaces. The campaign is a demonstration of commitment to sustainability and fostering a cleaner, healthier environment for the community.
Governance Practices

Chemplex is diligent in its approach to reporting financial results and to ongoing communication with the investor community, as well as fulfilling the company’s disclosure obligations.
The ultimate responsibility for the management of Chemplex rests with the Board of Directors, including the approving of a Corporate Governance Code for the company in accordance with the Corporate Governance Regulations.
The Board of Directors has created the following committees to clearly delegate and assign authority:
